Our company operates globally, with a core mission to provide end-to-end logistics, sourcing, manufacturing, warehousing, and order fulfillment services to e-commerce businesses. By engaging with Logestics, whether through our digital platform, direct business arrangements, or third-party integrations, you acknowledge and accept the terms set forth in this legally binding Agreement. These Terms of Agreement apply to all individuals, businesses, and legal entities interacting with our services, including but not limited to logistics coordination, supplier sourcing, product manufacturing oversight, warehouse storage, inventory management, order fulfillment, and freight forwarding.
This Agreement defines the mutual responsibilities and expectations between Logestics and its clients or partners. Our role as a third-party logistics provider (3PL) is to act on behalf of e-commerce brands and enterprises in managing supply chains with efficiency and transparency. By entering into this Agreement, you authorize Logestics to act as an intermediary between your business, suppliers, transportation carriers, customs agencies, and end-consumers, where applicable.
You agree to provide accurate and complete information when registering for services with Logestics. This includes, but is not limited to, business credentials, contact details, shipping instructions, product specifications, and inventory documentation. Failure to provide up-to-date information may result in service disruptions, order inaccuracies, or contractual breaches for which you shall bear sole responsibility. You further agree to notify us promptly of any material changes to your business that may impact our service delivery.
All goods submitted to Logestics for storage, fulfillment, or shipping must be legally owned or properly authorized for handling. Clients are prohibited from using our services to store, transport, or distribute items that are illegal, restricted, hazardous, or otherwise prohibited under applicable law. Logestics reserves the right to inspect, reject, or dispose of any such goods at our discretion and without liability.
Clients shall remain financially responsible for all charges incurred through the use of our services, including storage fees, fulfillment fees, shipping costs, customs duties, taxes, and additional service charges. All invoices issued by Logestics must be paid according to the payment schedule stated therein. Unless otherwise agreed upon in writing, payment is due in full before the release or continuation of services. Logestics retains the right to suspend or terminate services due to non-payment, without prejudice to recovering any outstanding balances.
You agree to comply with all applicable laws and regulations, both domestic and international, that govern your use of our services. This includes export and import regulations, product compliance standards, and labeling requirements. Logestics is not responsible for legal violations resulting from your non-compliance with such regulations. In cases where regulatory issues arise, clients agree to cooperate fully with any inspections, audits, or requests for documentation initiated by government agencies or by Logestics itself.
This Agreement also incorporates our expectations of ethical conduct, fair dealing, and professional collaboration. Clients and partners must treat all Logestics staff and affiliates with courtesy and respect. We reserve the right to refuse service or discontinue relationships with any individual or organization that engages in abusive behavior, fraudulent practices, or conduct that undermines the integrity of our operations.
All data, content, and proprietary systems developed or deployed by Logestics, including platform features, client dashboards, order tracking tools, and service workflows, remain the intellectual property of Logestics. Clients may not reproduce, repurpose, or distribute these assets without our written authorization. You further agree not to interfere with or disrupt the functioning of our technology systems through misuse, hacking, or the deployment of unauthorized scripts or tools.
Confidentiality is a critical aspect of this Agreement. Any information exchanged between Logestics and clients including product details, business strategies, pricing data, supplier contacts, or proprietary workflows—shall be treated as confidential and not disclosed to third parties without prior written consent, unless required by law. This confidentiality obligation remains in force for the duration of the business relationship and for two years following its termination.
This Agreement may be amended by Logestics from time to time to reflect changes in operations, legal requirements, or service improvements. Any revisions will be posted to our website with an updated effective date. Continued use of our services after such changes signifies your acceptance of the revised terms.
In the event of a dispute arising from this Agreement, both parties agree to first attempt resolution through amicable negotiation. If unresolved, disputes shall be subject to arbitration or legal proceedings in a competent jurisdiction, as determined by applicable law in the People’s Republic of China. Any invalid provision within this Agreement shall not affect the enforceability of the remaining provisions.
